The Audit Analytics Pledged Securities database tracks all stakeholders who have pledged shares as collateral or hold shares in a margin or brokerage account, covering all Securities Exchange Act of 1934 filers.
1. Understanding the database
The Pledged Securities database covers all person or entity stakeholders disclosed by the registrant within the source filing types, that have pledged shares as collateral or hold shares in a margin or brokerage account. Per SEC requirements this includes all Securities Exchange Act of 1934 filers.
The database is available online and as data feeds (Feed82) with the relevant subscription.

2. Understanding the collection methodology
Each record contains information on the person or entity that has pledged their shares, the number of shares pledged, and the percentage pledged versus their ownership stake, as well as the total shares outstanding of the company.
The text of the disclosure is extracted and available for easy reference. This data is sourced from the following form types: DEF 14A, 10-K, 10-K/A, 20-F, 20-F/A.
Certain financial information and Total Shares Outstanding are both sourced from third-party vendors.

5. Understanding regulatory requirements
Item 403 of regulation S-K (17 CFR § 229.403) requires disclosure of security ownership of certain beneficial owners that own more than 5% of a class of securities, security ownership of management, including directors, director nominees, and executive officers, and changes in control of the registrant.
Under 17 CFR § 229.403 (b), companies are required to indicate, by footnote or otherwise, the amount of shares that are pledged as security.
