3. Collection methodology
- The SC 13D, or Schedule 13D, is a "beneficial ownership report". Shareholders acquiring over 5% of a company's voting securities must file it with the SEC.
- The initial SC 13D must be filed within 10 days of acquiring the stake.
- Shareholders with over 5% who do not intend to influence control may opt for SC 13G instead.
- Amended SC 13Ds must be filed promptly for any material changes from the initial filing (e.g., shares owned, management discussions).
